Terms of Service

1. Acceptance of Terms

By accessing or using clefgestion ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and clefgestion.

2. Description of Service

clefgestion is a property management Software-as-a-Service (SaaS) platform designed for landlords operating in France. Our Service provides:

• Property portfolio management tools
• Tenant and lease tracking
• Automated rent receipt generation (Quittance de Loyer)
• Tax simulation for French LMNP and Réel regimes
• Maintenance tracking and expense categorization
• Document storage for compliance (DPE, insurance, etc.)

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use this Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

5. Subscription Plans and Pricing

• Subscriptions are billed monthly in advance
• Payments are processed securely through our payment provider
• All prices are in Euros (EUR) and include applicable VAT
• We reserve the right to change pricing with 30 days' notice
• No refunds for partial months of service

5.3 Free Trial

We may offer a free trial period at our discretion. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

6. Referral Program

Our referral program ("Share the Blueprint") offers free access to the Service under the following conditions:

• Eligibility: You must have an active paid subscription to participate
• Free Access: When your referred user activates a paid subscription, your account becomes free for as long as they remain an active subscriber
• Requirements: The referred user must be a new customer who has not previously used the Service
• Perpetual Benefit: Free access continues indefinitely while the referred user maintains an active paid subscription
• Multiple Referrals: Only one referral is needed to qualify for free access
• Abuse: We reserve the right to terminate accounts that abuse the referral program

7. Cancellation and Termination

7.1 Your Right to Cancel

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access until that date.

7.2 Our Right to Terminate

We may suspend or terminate your account if you:

• Violate these Terms
• Provide false or misleading information
• Engage in fraudulent activity
• Fail to pay fees when due
• Misuse the Service or interfere with others' use

7.3 Data After Termination

Upon termination, we will retain your data for 30 days to allow for export or account reactivation. After 30 days, your data will be permanently deleted, subject to legal retention requirements.

8. User Responsibilities and Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal purpose
• Upload malicious code or conduct security attacks
• Reverse engineer or attempt to extract source code
• Share your account credentials with others
• Use automated tools to access the Service without permission
• Resell or redistribute the Service
• Remove or obscure proprietary notices
• Use the Service to harass or harm others
• Upload content that violates intellectual property rights

9. Intellectual Property Rights

9.1 Our Rights

The Service, including its software, design, text, graphics, and other content, is owned by clefgestion and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9.2 Your Content

You retain ownership of all content you upload to the Service (property data, documents, etc.). By uploading content, you grant us a license to store, process, and display it solely to provide the Service to you.

10. Tax and Legal Disclaimers

While we strive for accuracy in our French LMNP and Réel tax simulations, tax laws are complex and subject to change. You are solely responsible for the accuracy of your tax filings.

11. Service Availability and Modifications

We strive to provide uninterrupted Service but cannot guarantee 100% uptime. We may:

• Perform scheduled maintenance with notice
• Make emergency updates without notice
• Modify, suspend, or discontinue features
• Change these Terms with 30 days' notice for material changes

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
• WE ARE NOT LIABLE FOR DATA LOSS (you should maintain backups)
• WE ARE NOT LIABLE FOR TAX ERRORS OR PENALTIES

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless clefgestion from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any rights of another party.

14. Governing Law and Jurisdiction

These Terms are governed by French law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France. For consumer disputes, you may also have the right to use the European Online Dispute Resolution platform.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
